Terms of Service

1. Description of Service & Delivery Model

Toran provides an Intelligent Lead Capture and Multi-channel Messaging Platform as a Software-as-a-Service (SaaS) solution. We enable businesses to connect with visitors via WhatsApp, Telegram, SMS, email, and other messaging channels through customizable widgets, an AI assistant that answers visitors on your website, and automated routing.

Service Delivery: Our service is entirely automated and software-driven. Toran does not provide human-driven services, manual consulting, or managed services as part of its standard subscription offerings. All messaging logic, routing, and analytics are provided via our automated cloud platform.

2. Account Registration & Security

2.1 Registration

The Service is for businesses and professionals, not for personal or household use. You must provide accurate, current, and complete information during the registration process. You represent that you are at least 18 years old and have the legal capacity to enter into this agreement, and, if you accept these Terms for a company or other organization, that you have authority to bind it.

2.2 Security

You are responsible for safeguarding your password. You agree to notify us immediately of any unauthorized use of your account. Toran is not liable for any loss arising from your failure to comply with these requirements.

2.3 Territorial Restrictions

The Service is not offered to, and may not be used by, any person or entity located in, organized under the laws of, or ordinarily resident in a territory that Israeli law designates as an enemy state, or a territory subject to comprehensive sanctions under laws that bind Toran or its service providers, or any other territory where Toran has determined that it cannot lawfully or reliably provide the Service. Toran may rely on your network location and billing address to determine eligibility, and may refuse, suspend, or terminate the Service where it reasonably believes this section applies. You represent that you are not such a person and will not use the Service for the benefit of one.

3. Subscription & Billing

The Free plan is available now. Paid plans open for purchase on 1 January 2027; until then we do not take payment. Sections 3.1 to 3.4 apply once you buy a paid plan.

3.1 Pricing & Regional Tiers

The Service is offered on a subscription basis (Monthly or Yearly). Toran utilizes Purchasing Power Parity (PPP) adjusted pricing based on your geographic location. Regional pricing is determined at the time of subscription and is subject to verification.

3.2 Price Changes

We may adjust subscription prices from time to time - for example, to reflect changes in infrastructure or AI-model costs. Any price change to an existing subscription takes effect no earlier than your next renewal, and we will give you at least 30 days' notice before it applies. Prices never change mid-cycle. If you do not accept a new price, you may cancel before your renewal date.

3.3 Payments

All payments are processed through our Merchant of Record, Paddle. By subscribing, you agree to their Terms and Conditions and authorize recurring charges.

3.4 Cancellation & Refunds

• Cancellation: You may cancel at any time; access remains active until the end of the current billing period.
• Refunds: We offer a 30-day money-back guarantee for initial purchases. If the service does not meet your expectations, you may request a full refund within 30 days of your first payment, provided usage is within reasonable trial limits.

4. Acceptable Use & Anti-Spam Policy

You agree NOT to use the Service to:

• Violate any applicable law or regulation.
• Send unsolicited bulk messages (spam) or unauthorized advertising via WhatsApp.
• Impersonate any person or entity.
• Interfere with or disrupt the integrity or performance of the Service.
• Ask visitors for health, biometric, payment-card, government ID or other sensitive information.

WhatsApp Integration Specifics:

You must comply with WhatsApp's Business Policy. Usage that results in a ban of your WhatsApp number is your sole responsibility.

5. The AI Assistant

If you turn on the AI assistant, it answers your visitors on your behalf, using the content and settings you provide. AI answers can be wrong, incomplete or out of date, and we do not guarantee that any answer is accurate. You are responsible for what you set the assistant up to say, for checking answers that matter, and for your dealings with your visitors.

• Keep the notice that tells visitors they are talking to an AI assistant. Do not hide it or present the assistant as a person.
• If your business is regulated (for example, health, legal or financial services), you are responsible for making sure your use of the assistant meets your professional rules.

6. Your Data and Your Visitors' Privacy

When we process personal data for you, such as your visitors' messages and contact details, we act as your processor under our Data Processing Agreement, which forms part of these Terms. How we use your own account data is explained in our Privacy Policy.

You are in charge of your visitors' data. You are responsible for having a lawful basis to collect it, for your own privacy notice, and for answering your visitors' requests. Our Visitor Privacy Notice explains to visitors how the widget handles their information, and the widget's message form links to it unless you add your own privacy policy link.

7. Intellectual Property

The Service, including its "look and feel," proprietary content, and functionality, is the exclusive property of Toran and its licensors. You retain ownership of any content you upload. You grant us a license to use it only to provide and improve the Service, as the Data Processing Agreement allows.

8. Ending the Service and Your Data

You can stop using the Service at any time. You can download your data from the dashboard whenever you like, and delete your account from your profile. Account deletion runs after a 7-day cooldown, during which you can cancel it. After that, your data is deleted as described in the Data Processing Agreement.

We may suspend or end your access if you materially breach these Terms, if your use puts the Service or other people at risk, or if the law requires it. Where it is reasonable, we will tell you first and give you a chance to fix the problem or download your data.

9. Changes to the Service and These Terms

We may change the Service and these Terms from time to time. Before a material change to these Terms takes effect, we will email you. If you keep using the Service after that, the new Terms apply; if you do not agree, you can stop using the Service and delete your account. The date at the top of this page shows the current version.

10. Disclaimer and Limitation of Liability

As-is service: The Service is provided "as is" and "as available". To the maximum extent permitted by law, we make no warranties beyond those in these Terms, and we do not promise that the Service will be uninterrupted or error-free.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORAN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL.

Total Liability: Our total liability for any claims arising out of the Service shall be limited to the amount you paid us in the past 12 months.

Nothing in these Terms limits any liability that the law does not allow us to limit.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.
